Terms of Service

These Terms of Service (“Terms”) govern your access to and use of aethreallegence.com, including its pages, content, features, and related services (collectively, the “Site”).

The Site is owned and operated by Aethreallegence Enterprise LLC, an Illinois limited liability company based in Peoria, Illinois (“Aethreallegence,” the “Company,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Site.

1. Description of the Site

The Site is an informational and marketing-focused company website. It provides information about Aethreallegence Enterprise LLC, our technology, and our inventory cognition infrastructure, including computer vision and voice artificial intelligence solutions designed for retail inventory management.

The Site may also provide information about our company, product concepts, research, technology, business activities, and contact methods.

The Site does not currently:
  • Offer products or services for purchase through the Site;
  • Provide e-commerce or online checkout functionality;
  • Process payments;
  • Offer subscriptions;
  • Create or maintain user accounts;
  • Provide user login functionality; or
  • Host user-generated content.
Any future commercial relationship, pilot program, licensing arrangement, service engagement, or other business transaction involving Aethreallegence will be governed by a separate written agreement where applicable.

2. Informational Purposes Only

The content available through the Site is provided for general informational and marketing purposes only.

Nothing on the Site constitutes a binding offer, contractual commitment, warranty, guarantee, professional advice, or promise that any product, feature, service, integration, or capability is currently available or will be made available in the future.

Descriptions of products, technologies, features, capabilities, development plans, potential applications, or anticipated results may change without notice. Actual product functionality, availability, performance, implementation requirements, and commercial terms may differ from information presented on the Site.

You should not rely solely on Site content when making business, technical, operational, financial, legal, or other decisions.

3. Eligibility and Lawful Use

You may use the Site only if you are legally permitted to do so under the laws applicable to you. By accessing or using the Site, you represent that:
  • You have the legal capacity to agree to these Terms;
  • Your use of the Site will comply with applicable laws and regulations; and
  • You will not use the Site for any unlawful, fraudulent, abusive, or unauthorized purpose.
If you access the Site on behalf of a company, organization, or other legal entity, you represent that you have authority to act on behalf of that entity.

4. Intellectual Property Ownership

The Site and all content and materials made available through it are owned by or licensed to Aethreallegence Enterprise LLC and are protected by applicable intellectual property laws.

This content includes, without limitation:
  • Text, descriptions, articles, and written materials;
  • Company and product information;
  • Software concepts and technology descriptions;
  • Graphics, illustrations, diagrams, photographs, and images;
  • Videos, audio, animations, and demonstrations;
  • Website designs, layouts, interfaces, and visual elements;
  • Logos, trade names, trademarks, service marks, and branding;
  • Reports, presentations, downloads, and marketing materials;
  • Source code, object code, and other software elements; and
  • The selection, arrangement, organization, and presentation of Site content.
Except for third-party materials that are expressly identified as belonging to their respective owners, all rights, title, and interest in the Site and its content belong to Aethreallegence Enterprise LLC.

The names “Aethreallegence,” “Aethreallegence Enterprise LLC,” associated logos, product names, slogans, and other brand identifiers are trademarks or service marks of Aethreallegence Enterprise LLC. You may not use them without our prior written permission.

No ownership rights are transferred to you under these Terms.

5. Limited Permission to Use the Site

Subject to these Terms, Aethreallegence grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable permission to access and use the Site for lawful, personal, internal business, or informational purposes.

You may view, download, or print reasonable portions of publicly available Site content solely for your own lawful, noncommercial reference, provided that you:
  • Do not modify the content;
  • Do not remove copyright, trademark, or ownership notices;
  • Do not misrepresent the source of the content; and
  • Do not use the content in a way that suggests endorsement, affiliation, or sponsorship by Aethreallegence.
Any use not expressly permitted by these Terms requires our prior written consent.

6. Acceptable Use

You agree not to use the Site in any manner that could harm the Site, the Company, other visitors, or any third party.

You may not:
  • Use the Site in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to the Site, its servers, networks, systems, or data;
  • Probe, scan, test, or attempt to identify vulnerabilities in the Site or related systems without written authorization;
  • Introduce viruses, malware, ransomware, spyware, harmful code, or other disruptive technology;
  • Interfere with, disrupt, disable, damage, or place an unreasonable burden on the Site or its infrastructure;
  • Circumvent security measures, access restrictions, rate limits, or technical controls;
  • Use automated tools, bots, scrapers, crawlers, or data-mining systems to extract Site content in a manner that creates an unreasonable burden or violates applicable law;
  • Copy, reproduce, republish, distribute, sell, license, modify, publicly display, or create derivative works from Site content except as expressly permitted;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from any Site technology, except where such restrictions are prohibited by law;
  • Impersonate Aethreallegence, its personnel, another person, or another organization;
  • Misrepresent your identity, affiliation, authority, or relationship with the Company;
  • Use Site content or Company branding in a misleading, defamatory, infringing, or deceptive manner;
  • Use the Site to conduct fraudulent, abusive, harassing, threatening, or unlawful activity; or
  • Assist or encourage another person to engage in prohibited conduct.
We may restrict or block access to the Site if we reasonably believe a visitor has violated these Terms or poses a risk to the Site, the Company, or others.

7. Contact Communications

The Site may allow you to contact us through an email address, contact form, or similar communication method.

When contacting us, you agree to provide information that is accurate and lawful. You may not use our contact methods to transmit spam, malicious content, unlawful material, abusive communications, or content that infringes another person’s rights.

Unless we have entered into a separate confidentiality or nondisclosure agreement with you, communications sent through the Site or to a general Company contact address should not be considered confidential.

Please do not submit trade secrets, sensitive personal information, source code, proprietary business information, or other confidential material through the Site unless we have expressly agreed in writing to receive it on a confidential basis.

Sending us a message does not create a client, advisory, employment, partnership, agency, fiduciary, or other special relationship.

8. Third-Party Links and Resources

The Site may contain links to websites, applications, platforms, services, publications, or resources operated by third parties.

Third-party links are provided for convenience or informational purposes only. Aethreallegence does not control and is not responsible for third-party websites, services, content, security practices, availability, terms, or privacy practices.

The inclusion of a third-party link does not necessarily imply that Aethreallegence endorses, sponsors, approves, or is affiliated with that third party.

Your use of third-party websites and services is governed by the terms and policies of those third parties. You access third-party resources at your own risk.

9. Availability and Changes to the Site

We may update, modify, suspend, restrict, discontinue, or remove any part of the Site at any time without notice.

We do not guarantee that:
  • The Site will always be available;
  • Access will be uninterrupted or error-free;
  • All content will remain current or complete;
  • Any particular feature or material will continue to be available; or
  • Errors or technical issues will be corrected immediately.
We are not responsible for interruptions caused by maintenance, updates, hosting providers, internet failures, security incidents, equipment failures, events beyond our reasonable control, or other technical circumstances.

10. Disclaimers of Warranties

To the fullest extent permitted by applicable law, the Site and all content made available through it are provided on an “as is” and “as available” basis.

Aethreallegence disclaims all warranties and representations, whether express, implied, statutory, or otherwise, including implied warranties of:
  • Merchantability;
  • Fitness for a particular purpose;
  • Title;
  • Noninfringement;
  • Accuracy;
  • Reliability;
  • Availability;
  • Security; and
  • Freedom from viruses or other harmful components.
We do not warrant or represent that:
  • Site content is complete, current, accurate, or suitable for your particular purpose;
  • The Site will be available without interruption or error;
  • Defects will be corrected;
  • The Site or its servers will be free from harmful components;
  • Product descriptions or anticipated capabilities will reflect final commercial functionality; or
  • Use of the Site will produce any particular business, technical, financial, or operational result.
You are responsible for evaluating the accuracy and usefulness of Site content and for taking reasonable precautions to protect your systems and data.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions in this section apply only to the extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Aethreallegence Enterprise LLC and its members, managers, officers, employees, contractors, representatives, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to:
  • Your access to or use of the Site;
  • Your inability to access or use the Site;
  • Your reliance on Site content;
  • Errors, omissions, inaccuracies, or delays in Site content;
  • Interruptions, security incidents, malware, or technical problems;
  • Third-party websites, services, or content; or
  • Any unauthorized access to or alteration of information transmitted through the Site.
This exclusion includes, without limitation, damages for lost profits, lost revenue, lost business opportunities, lost data, business interruption, reputational harm, or the cost of substitute services, regardless of the legal theory asserted and even if we were advised that such damages were possible.

To the fullest extent permitted by law, Aethreallegence’s total aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred United States dollars (US $100).

The limitations in this section apply to the maximum extent permitted by law. They do not exclude or limit liability that cannot lawfully be excluded or limited.

12. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Aethreallegence Enterprise LLC and its members, managers, officers, employees, contractors, representatives, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
  • Your misuse of the Site;
  • Your violation of these Terms;
  • Your violation of applicable law; or
  • Your infringement or violation of another person’s rights.
We reserve the right to assume control of the defense of any matter subject to indemnification. If we do so, you agree to reasonably cooperate with that defense.

13. Enforcement and Suspension of Access

We may investigate suspected violations of these Terms and take appropriate action.

We may suspend, restrict, or block your access to the Site without prior notice if we reasonably believe that:
  • You have violated these Terms;
  • Your activity creates a security or legal risk;
  • Your activity may harm the Site, the Company, or another person; or
  • Restricting access is reasonably necessary to protect our systems or comply with law.
Our decision not to enforce a provision of these Terms in one instance does not waive our right to enforce it in another instance.

14. Changes to These Terms

We may revise these Terms periodically to reflect changes to the Site, our business practices, applicable law, or other operational needs.

When we update these Terms, we will post the revised version on the Site and update the Effective Date at the top of the page.

Unless otherwise stated, revised Terms become effective when posted. Your continued use of the Site after revised Terms become effective constitutes your acceptance of the revised Terms. You should review these Terms periodically for changes.

15. Governing Law

These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the State of Illinois, without regard to its conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16. Jurisdiction and Venue

Unless applicable law requires otherwise, any legal action or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in:
  • The state courts located in Peoria County, Illinois; or
  • The United States District Court for the Central District of Illinois, where federal jurisdiction exists.
You consent to the personal jurisdiction and venue of those courts and waive objections based on inconvenient forum or similar grounds.

17. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law.

The remaining provisions will remain in full force and effect.

18. No Waiver

A failure or delay by Aethreallegence to exercise or enforce a right or provision under these Terms does not constitute a waiver of that right or provision.

A waiver is effective only if it is made in writing by an authorized representative of Aethreallegence.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, reorganization, sale of assets, operation of law, or other business transaction.

20. Entire Agreement

These Terms constitute the entire agreement between you and Aethreallegence regarding your access to and use of the Site, except where a separate written agreement expressly applies.

These Terms supersede prior or contemporaneous communications and understandings concerning the Site.

Section headings are included for convenience only. They do not limit or affect the interpretation of these Terms.
